Terms of Service

These Terms of Service ("Terms") govern your use of Gradeport's website, waitlist, and related services. By using Gradeport, you agree to these Terms.

1. Use of the Service

Gradeport provides tools related to grading workflows, including waitlist access, beta access, file processing, grade extraction, exports, and related features.

You agree to use Gradeport only for lawful purposes and in a way that does not harm the service or other users.

2. Beta Service

Gradeport may currently be offered as a beta or pre-release product. Beta features may be incomplete, change without notice, contain errors, or become unavailable.

We may limit, suspend, or revoke beta access at any time.

3. Accounts

Some features may require an account. You are responsible for maintaining the confidentiality of your account and for activity that occurs under it.

You agree to provide accurate information and keep it updated.

4. User Content and Upload Authority

You may submit content to Gradeport, including forms, messages, uploaded papers, spreadsheets, and related grading information.

You retain ownership of your content. By submitting content, you give us a limited license to host, process, store, transmit, and use that content as necessary to operate, improve, and support Gradeport.

You must have the authority to upload any records you submit. If you are uploading graded papers, student rosters, or grade data on behalf of a school, department, or institution, you represent that you are authorized by that institution to do so and that your use complies with applicable institutional policies and privacy laws.

5. Acceptable Use

You agree not to:

Users are responsible for ensuring their use of Gradeport complies with their institution's acceptable use policies and applicable privacy laws, including FIPPA and MFIPPA where applicable in Ontario.

6. Accuracy, Review Responsibility, and Educational Records

Gradeport assists with extracting and organizing grading data, but you are responsible for reviewing all outputs before relying on them. You remain responsible for confirming names, scores, calculations, exported spreadsheets, and any final academic records.

Gradeport is not a system of record. Exports and gradebook updates generated by Gradeport should be reviewed by an authorized educator or administrator before being treated as final. Gradeport's scan and extraction results are provided as a starting point for review, not as authoritative academic records.

Where Gradeport is used to process student education records on behalf of an institution, the institution remains responsible for the accuracy and appropriate use of those records. Gradeport processes such records only as directed by the authorized user.

7. Intellectual Property

Gradeport, including its branding, software, design, and related materials, is owned by us or our licensors and is protected by applicable intellectual property laws.

You may not copy, modify, reverse engineer, distribute, or exploit the service except as allowed by law or with our written permission.

8. Feedback

If you provide feedback, suggestions, or ideas, we may use them without restriction or compensation to you.

9. Third-Party Services

Gradeport may integrate with or rely on third-party services, such as hosting, storage, authentication, analytics, payment processors, or email providers. We are not responsible for third-party services.

10. Termination

We may suspend or terminate your access at any time if you violate these Terms, misuse the service, or if we decide to change or discontinue the service.

You may stop using Gradeport at any time.

11. Disclaimers

Gradeport is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the service will be uninterrupted, error-free, or fully accurate.

12. Limitation of Liability

To the maximum extent permitted by law, Gradeport and its affiliates, owners, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, or business opportunities arising from your use of the service.

13. Indemnification

You agree to indemnify and hold harmless Gradeport and its affiliates, owners, and service providers from claims, liabilities, damages, and expenses arising out of your use of the service, your content, or your violation of these Terms.

14. Changes to the Service or Terms

We may modify the service or these Terms at any time. If we update these Terms, we will post the revised version with a new effective date. Continued use of Gradeport after changes means you accept the updated Terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Gradeport operates, without regard to conflict of law principles.
